SEIDOR completes Carlyle's capital incorporation

  • SEIDOR finalizes Carlyle’s capital incorporation after obtaining regulatory approvals in all territories where it operates.
  • Josep Benito, Executive Chairman of SEIDOR, will chair the new Board of Directors, with Sergi Biosca serving as CEO.

Barcelona, 27 February 2025 – The technology consulting firm SEIDOR has completed Carlyle’s incorporation into its capital, thus formalizing the definitive closure of the transaction announced in August 2024. After receiving approvals and authorizations from competition authorities in all the territories where it operates, SEIDOR now has a strengthened structure that will enable it to drive its growth, with the goal of becoming a leading technology consulting firm in the most competitive markets worldwide.

With this transaction, Carlyle Europe Technology Partners ("CETP") becomes SEIDOR’s majority partner, holding a 60% stake, while the remaining 40% remains under the control of the original shareholders.

New governance structure

With Carlyle's investment, a new Board of Directors is established, chaired by Josep Benito, Executive Chairman of SEIDOR. This governing body consists of eight members, including representatives from SEIDOR and Carlyle, as well as shareholder-appointed Directors.

In addition to Josep Benito, on behalf of SEIDOR, the Board includes Sergi Biosca, CEO; Javier Navarro, General Manager of International Operations; and Santiago Anguera, Deputy General Manager. Representing Carlyle, Fernando Chueca, Managing Director and Partner of Carlyle Europe Technology Partners y Fabio Sousa, Vice President of Carlyle Europe Technology Partners, join the Board.

As shareholder-appointed Directors representing Carlyle, José Duarte, with extensive experience at SAP, where he held positions such as President of Global Services and Corporate Officer, President of EMEA and India, and President of Latin America, in addition to having been CEO of Infovista and Unit4, among others; and José Pablo Carbonell, former Global COO of NTT Data Europe & Latam, with more than 24 years of experience in consulting and strategic leadership. He has held senior management positions at everis, including CEO of Europe, Global Head of Banking, and Partner of the firm.

This composition strengthens SEIDOR’s governance, combining continuity, strategic vision, and sector experience to support its global growth. Its role will focus on supervising and guiding its strategic initiatives, ensuring alignment with the growth and consolidation plan in key markets such as Spain, the United States, and Western European countries, including Italy, France, Germany, the United Kingdom, and Ireland.

At the same time, SEIDOR will continue consolidating its presence in the 45 countries where it operates, spanning Latin America, the Middle East, and Africa.

Additionally, under this new structure, the company will further strengthen its position as a strategic partner for leading technology providers, consolidating its innovation and global growth strategy.

With the transaction completed and the new Board of Directors established, SEIDOR strengthens its position in the global technology ecosystem, backed by a governance structure that will facilitate strategic decision-making in high-potential markets. Likewise, it will enhance its ability to undertake large-scale projects and reinforce its role as a leading technology partner in key industries.
